Barbara Ann Dalvano has more than 20 years of experience advising clients on tax-oriented estate and wealth transfer planning matters and business succession and commercial transactions, including the purchase and sale of businesses.

PRACTICE EXPERIENCE
Counseled clients on and prepared various types of trusts, including tax-planning trusts such as Grantor Retained Annuity Trusts, Intentionally Defective Grantor Irrevocable Trusts, Life Insurance Trusts, Revocable Trusts, Wills and ancillary documents. Negotiated sales and purchases of businesses and documented such transactions. Negotiated and drafted operating agreements for limited liability company business operations, shareholder stock retirement and buy-sell agreements, consulting agreements, commercial real estate leases, loan agreements (including promissory notes and deeds of trust) and similar commercial transaction documents. Represented individuals in income tax controversy matters with the Internal Revenue Service. Counseled fiduciaries on the administration of estates and irrevocable trusts.
